We are Remium Group SIA(“Enremium”). We help to buy or sell business. This Terms of Use Agreement (“Agreement”) contains important provisions regarding the use of enremium .com (the ‘Website”), including the marketing services to find business seller or buyer through Remium Group (the “Services”). You should review this Agreement carefully before deciding whether to use Remium Group Services. If you do not agree to the terms contained within this Agreement, you should not use Remium Group Services or Website.

THIS AGREEMENT IS A LEGALLY BINDING CONTRACT AND YOU HAVE A DUTY TO READ THIS AGREEMENT BEFORE USING THE WEBSITE OR SERVICES. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU MUST IMMEDIATELY CEASE YOUR USE OF THE WEBSITE OR SERVICES. REMIUM GROUP RESERVES THE RIGHT TO MODIFY, AMEND, REPLACE, SUSPEND, OR TERMINATE THIS AGREEMENT AT ANY TIME AND WITHIN ITS SOLE DISCRETION. IN THE EVENT REMIUM GROUP MODIFIES, AMENDS, OR REPLACES THIS AGREEMENT, THE EFFECTIVE DATE, LOCATED ABOVE, WILL CHANGE. YOUR USE OF THE WEBSITE OR SERVICES AFTER A CHANGE IN THE EFFECTIVE DATE CONSTITUTES YOUR ACQUIESCENCE TO AND ACCEPTANCE OF ANY MODIFICATION, AMENDMENT, OR REPLACEMENT.

GENERAL PROVISIONS

Business for Sale Advertising Service

The Service is an online business advertising, searching and information service. Company does not broker or sell businesses directly and is not a party to any transaction between the business purchaser and seller. As a result, Company does not

(a) guarantee or ensure any business or any transaction between the seller and purchaser,

(b) act as a business broker, loan broker, money transmitter, payment manager, debt collector, or credit reporting agency, and does not guarantee any results from using the Service,

Permission Grant and other Rights of Company

With respect to listings, content and other information Customer submits to Company through the website enremium.com (''Enremium''), Customer grants Company and its affiliates a royalty-free, perpetual, irrevocable, non-exclusive and permission(through multiple tiers) to use, reproduce, adapt, perform, display, publish, translate, prepare derivative works from, modify, distribute, sell, and take any other action with respect to the Enremium (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, including the right to use listings and other information submitted to it for publication of all or part of such listing on the Internet for unrestricted use by Company customers and partners. This permission you grant Company includes the express permission for Company to use and display the information you provide to Company, or any modification thereof, on the Websites and other Company-affiliated or partner products and sites. Company shall have sole authority to choose the manner in which any listing will be received, displayed and used by the Service, and reserves the right to remove all or any part of a listing or refuse Services to anyone at any time in its sole discretion. Company shall have no obligation to (i) resolve disputes among users of the Service; or (ii) monitor or verify the accuracy or proper use of the listings. Company reserves the right to modify or change any and all Terms of Use at any time.

Requirement to Register an Account with Enremium

In order to use Enremium Services, you are required to register an account with Enremium and consent to this Agreement. Users are permitted to use their account only and are expressly prohibited from providing third parties with access to a User’s account. You agree that in registering an account with Enremium, you will provide Enremium with accurate, complete, relevant, and current information. Users are solely responsible for maintaining the security and confidentiality of their usernames and passwords. In the event a User account is accessed without a User’s consent, Users are required to immediately provide Enremium with written notice.

By registering an account with Enremium, you agree Enremium may contact you through the details you provided, including but not limited to phone and email and SMS,

By registering an account with Enremium, you warrant and agree that you are either above the age of majority in your nation, state, province, territory, or city, or the age of eighteen (18), whichever is greater. You warrant that you are of sound mind, have the capacity to contract, and agree to the terms and conditions contained within this Agreement.

By registering an account with Enremium, Users warrant and represent they have the full power and legal authority to execute this Agreement. If a User is making this representation on behalf of a business entity or third party, the User warrants that he or she has actual authority to act as an agent of that business entity and third party and have the right and ability to agree to the terms of this Agreement on behalf of that third party or business entity.

Sellers represent warrant they have full unencumbered title to the Business to be, or that any encumbrance will be fully disclosed to Enremium and/or any Buyer.

Buyers represent and warrant they have sufficient funds to complete the purchase of any Business in which they make an offer to purchase.

Buyer and Seller represent they are not subject to any voluntary or involuntary petition or proceeding under any bankruptcy, reorganization, insolvency, or similar law relating to the relief of creditors or debtors.

Right to Terminate Users.

Enremium retains the discretion to terminate this Agreement and ban Users from Enremium Services if a User is in breach of the Agreement, Enremium has grounds to believe a User is a repeat violator of this or previous Agreements, or for other grounds based on Enremium sole discretion that a User will cause damage or injury to other Users or Enremium. Users are expressly prohibited from contacting other Users for purposes unrelated to the Services, including, but not limited to soliciting Users for sales of products or other services.

Company Communication

Company uses email as a vital and primary communication channel with customers. After submitting information to Enremium Customer hereby consents to Company communicating and grants Company permission to communicate with customer via email (as well as other communication channels such as phone) for any purpose Company determines to be relevant including, but not limited to, system messages, product updates, service announcements and other marketing messages. Company will use commercially reasonable to honor Customer's request to opt out of marketing messages, but in every circumstance Company shall comply with applicable law with respect to such opt-out request and under no circumstances will Company have any liability for sending any email to its customers who provided information with Enremium. With respect to sharing any personal data with third parties, Company does so in compliance with applicable law.

The Website’s Services

Our Website is an online marketplace that connects sellers of businesses to potential buyers of businesses. The information provided on the Website is for our users’ internal business purposes only.

What the Website DOESN’T Do

Enremium does not, itself, buy our sell any of the businesses listed on the Website. Our Website does not include any advice or counsel with regards to any financial, legal, or related service of any kind. Enremium is not a broker and may not perform services performed by a broker. Enremium and the Website are not a substitute for the advice or services of a broker.

The Agreement formed between the buyer and seller of a business is solely between the buyer and seller. Enremium is not a party to the transaction, and is not responsible for the sale of any businesses available on the Website. Enremium assumes no responsibility arising out of or in connection with such sale.

Listings

Enremium confers with potential sellers to ensure the validity of the listings on the Website. However, Enremium cannot guaranty whether a listing is suitable for a potential buyer, or whether any businesses listed on the Website will meet the performance expectations of a buyer. Enremium is not responsible for seller’s truthfulness regarding the existence, quality, accuracy, or completeness of any listing on the Website.

If you are a seller, Enremium requires that you provide complete and accurate information about your business. Enremium reserves the right to modify or remove your listing, in its sole discretion, if it believes any of the information is incomplete or inaccurate.

For each listing you provide, you represent and warrant to Enremium that:

(a) you are the owner of the business, or are otherwise entitled to sell the business; (b) you are the owner of all intellectual property rights associated with the business, or the authorized licensee of same; (c) the business may be legally transferable to a buyer; and (d) any accompanying agreements of the business with third-parties are also transferable to the buyer.

To list your business for sale, please register and go to List business for sale and fill out the form. Once the form is completed and submitted, you will be requested to pay (first month for FREE, after 49.99 EUR a month. The invoice will be sent to your email after paying the listing fee.

User Responsibilities

Buying or selling a business requires investigation and due diligence. As a buyer, you are solely responsible for researching any potential purchase. As a seller, you are responsible for ensuring the buyer is in a position to purchase the business.

It is your responsibility to consult with tax and legal counsel before undertaking any purchase or sale of a business.
